As the Foris DAX National Trust Bank’s Head of Compliance, the Chief Compliance Officer (CCO) will monitor operations to ensure that personnel adhere to the relevant policies and procedures, that the compliance function is managed effectively, and that the compliance standards are met to the satisfaction of the Office of the Comptroller of the Currency (OCC).
Accordingly, the CCO will implement and maintain compliance policies and procedures and maintain oversight of relevant Legal and Finance policies. Additionally, the Chief Compliance Officer will coordinate with the other officers to conduct an annual risk assessment and to ensure that personnel are periodically trained on the Bank’s compliance policies and procedures. The Chief Compliance Officer will also work with external auditors and internal testing teams to audit the Bank’s compliance with respect to its fiduciary activities and will work with the Treasurer and the Information Security Officer to support the required SOC audits.

Key Responsibilities
- Compliance Management System (CMS) Oversight
- Policy Development: Design, implement, and maintain the bank’s overarching compliance policies in alignment with OCC Heightened Standards.
- Risk Assessment: Conduct enterprise-wide compliance risk assessments to identify, measure, and mitigate "compliance risk" across all business lines.
- Monitoring & Testing: Establish a robust second-line-of-defense monitoring program to ensure internal controls are functioning as intended.
- Regulatory Relationship Management
- Exam Management: Serve as the primary point of contact for OCC examiners. Lead the bank through periodic examinations and ensure timely remediation of any "Matters Requiring Attention" (MRAs).
- Regulatory Change Management: Monitor changes in federal laws (e.g., Dodd-Frank, Consumer Financial Protection Act) and ensure the bank’s operations pivot accordingly.
- Consumer Protection
- Product Review: Provide compliance "sign-off" on all new financial products, marketing materials, and digital banking features.
- Complaint Management: Ensure satisfactory resolution of client complaints in a timely and fair manner.
- Board Reporting & Governance
- Provide regular "State of Compliance" briefings to the Board of Directors.
- Escalate significant compliance breaches or "High Risk" findings directly to the President and to the Board where appropriate.
Qualifications

Minimum of 12+ years in banking compliance, with at least 5 years in a senior compliance leadership role at an OCC-regulated National Bank.

Bachelor’s degree in Finance, Business, or Law (JD or MBA strongly preferred).

CRCM (Certified Regulatory Compliance Manager) is mandatory. CAMS certification is a significant plus.

Deep knowledge of the OCC’s Comptroller’s Handbook and the ability to interpret complex federal statutes.

Demonstrated leadership experience managing high-performing compliance teams and interaction with C-suite executives and Board Directors.

Experience conducting presentations in large groups and developing senior level board reporting.

Understanding of cryptocurrencies or a strong interest in learning.
